In what might be an unprecedented move by Apple Inc. (NASDAQ: AAPL), the company apparently has�agreed to permit Wal-Mart Stores Inc. (NYSE: WMT) to sell the iPhone 5C and iPhone 5S at discount prices. The 5C, which carries a list price of $99, will sell for $79, and the 5S will sell for $189, compared with the list price of $199.

Apple surely will�receive its full selling price from Walmart, so revenues will not be affected, but the optics are unusual to say the least. Discounting a new product just two days after it has been introduced is new ground for Apple, at least in our memory. Why would the company do this?

It is no secret that the new iPhones have been greeted with a lukewarm reception at best, and perhaps Apple is angling to bump up sales numbers by letting Walmart discount the phones immediately. If consumers believe there is a stampede for the new phones, well, maybe they will create one.

More likely, Apple is running a trial. The company knows that sales of low-priced smartphones are projected to explode in the next few years. Even though the iPhone 5C priced at $99 is a good buy, dollar-conscious consumers might need an extra shove to part with their scarce cash. If sales at Walmart can demonstrate that discount pricing both moves product and provides profits, the company will have set itself up for success in that part of the market in which price is the leading consideration among consumers and where most of the growth is expected. That could make a significant difference in Apple�� future sales in China and other emerging economies.

Dendreon Seeks Acquirer: Should Investors Buy?

Late Friday, Bloomberg reported that Dendreon (DNDN) was looking to sell itself–a report that has sent the troubled drug maker’s shares shooting higher this morning. From the report:

Dendreon, the maker of Provenge, is working with JPMorgan Chase & Co. to find suitors, said one of the people, who asked not to be named as the process is private. The company, whose market value once topped $7 billion, has generated about $2 billion in losses over the past decade. That market capitalization now hovers at about $400 million.

While some analysts find the news promising–Maxim Group upgraded Dendreon’s shares to Buy from Hold with a $10 price target–Credit Suisse warns investors not to expect too much upside. Analysts Lee Kalowski and team write:

If DNDN can be sold, investors should not expect an outsized premium. The enterprise value of DNDN is around $750M ($385M plus $647M in debt principal minus $280M in cash), which equates to around 2.5x sales. But DNDN is facing notable commercial and financial struggles and we don't foresee a big bidding war. Moreover, a sale would resolve the debt overhang, so it's hard to imagine investors not being satisfied — almost regardless of price — since there are very few clear alternatives. A sale would remove a very real scenario of equity holders being wiped out in a debt restructuring.

They believe potential buyers could include Johnson & Johnson (JNJ), Sanofi (SNY), Astellas (ALPMY) and Bayer (BAYRY). 

Roth Capital Partners Joseph Pantginis is even less enthusiastic about the possibility of a sale. He writes:

Dendreon remains in trouble, in our belief, and is not an attractive asset to purchase. While a nice headline positive we believe that the sale of Dendreon will still present significant hurdles to a potential acquirer and current Provenge revenue will likely by overshadowed by major hurdles discussed below. Provenge is an effective, FDA approved product, representing the first cancer vaccine approved in the U.S. However, it has been a major commercial failure and the increased level of competition in the prostate cancer space (Zytiga and Xtandi) has made it that much more difficult. This is a snapshot, in our belief, of what a potential buyer will be faced with: 1) still see major education and commercial hurdles and would not expect to see rapid turnaround, 2) manufacturing hurdles and COGS issues still need to be addressed, 3) ~$550 million in convertible debt is due in 2016 and 4) the recent E.U. approval was a headline success but the key hurdles include a very diverse reimbursement landscape from country to country and the need to define the manufacturing strategy.

He recommends staying far, far away for Dendreon’s stock.

Shares of Dendreon have gained 11% to $2.80 today.

And That's Why You Don't "Invest" in Lawsuits (PRKR, VRNG)

I hate to be the one to say I told you so, but, I told you so. It's Vringo, Inc. (NASDAQ:VRNG) all over again. What's that? The euphoria - the certainty - that drove ParkerVision, Inc. (NASDAQ:PRKR)  shares from a price of $2.46 to a high of $7.78 in just seven trading days, only to see it all come crashing down on the 8th day. PRKR plunged to a close of $2.90 on the 8th day (yesterday) when the gamble didn't pan out for speculators who were sure it would. Score another one for not picking stocks like you were tossing a coin.

The prompt for the pullback from ParkerVision was a rather disappointing settlement award from yet-another patent-infringement lawsuit. The hopeful were talking about amounts anywhere from $400 million to as much as $1.3 billion. What PRKR got from the judge-n-jury was less then $200 million. Ouch. Of course, ParkerVision, Inc. technically 'won' the case, so what the judgment lack in substance is made up for by the fact that it's a moral victory, right?

If the story seems familiar, it may be because it's the same one that unfurled for Vringo about a year ago in its patent suit against Google; VRNG 'won' the case, in as far a the jury decided Google had infringed on a key patent owned by Vringo, which meant Google owed VRNG some cash. But, dreams of half a billion to billion dollar settlement were dashed when the total award (so far anyway, but that's a long story) only came in at $30 million. The chatter of VRNG becoming a $10 stock was immediately quelled. Shares now stand valued at $2.73, and are acting as if they're looking for a reason to go lower...

....even though there's a shred of hope that total could be increased in November as part of the follow-up evidentiary proceedings. It's not looking encouraging though. Traders were willing to bid Vringo up to $5.73 right before the trial's official end. The company officially won the case - a very good legal position to be in when it comes time to hammer out the final tally - yet the market's lack of interest in buying this stock now suggests traders have little confidence in anything significant above and beyond that $30 million.

Lesson learned: Traders, gurus, and pundits love to hypothesize big numbers, but when all is said and done, juries don't like to hand out big awards unless the reason for doing so is crystal clear. In the case of ParkerVision and Vringo, while the infringement was technically evident, the intent (from all angles) was a gray area.

I don't come here to gloat about my call on PRKR, however, nor the similar call I made about VRNG about a year ago (though I'll confess the Vringo bulls put up a heckuva fight). I come here to suggest ParkerVision is a buy at this depressed price.

Yes, you read that right - I'm advocating you try and catch this falling knife.

It's still a speculative trade, and not intended to be a long-term one. Like Vringo, ParkerVision, Inc. doesn't actually make anything; its business model is patent infringement suits, and it doesn't even seem to do that as well as Vringo has and can. But, with a fund-raising on way, PRKR has something planned. Though we don't know what it is, we do know it's ready and willing to fight it out in court, and that alone is enough to draw a crowd of buyers to bid the stock up again. Just don't get married to the stock - this is all just a chess match against the rest of the market's speculators.

Dow Dips After Discouraging Housing Data

It's been a rocky start today for the Dow Jones Industrial Average (DJINDICES: ^DJI  ) , as the index has tumbled after a four-day rally. Investors may be shaken following the release of this morning's latest housing data, and with Fed Chairman Ben Bernanke set to speak later this afternoon, there's no way to know yet if their concerns will be pacified. Though the index has taken a bumpy yet precipitous dive, the losses are still manageable, with it sitting on a 29-point loss as of 11:30 a.m. EDT.

Housing in trouble? 
This morning's weekly report on new home-loan application activity was not what Wall Street wanted to hear. The housing rebound has been one of the slow but steady guiding lights to the overall economic recovery. Construction on new homes is up, and so are prices -- bringing hopeful buyers and sellers back to the market. As a driver for both personal and economic wealth, the continued improvements in the housing market have consistently kept investors' chins up when other data was discouraging.

So when this morning's report showed that higher interest rates had driven down new mortgage activity by 3% last week, it fueled the flames of investors' fears surrounding the eventual end to the current Fed stimulus policy. Though the rising rates had previously stalled new refinancing application activity, the new purchase applications had been faring better. The rates remain near all-time lows, and are still attractive based on historical trends -- but if the recent rise is deterring buyers now, what's to be expected as rates normalize following the Fed's stimulus tapering? Based on their reaction this morning, investors believe the result will be further losses on new buyers, which will stall the recovery in the housing market and overall economy.

The latest minutes from the Federal Open Market Committee meeting will be released at 2 p.m. EDT, followed by an unrelated speech from Bernanke shortly before the markets close. Though Bernanke is not speaking directly on the subject of the Fed's tapering plan, Wall Street will surely be looking for signs on next steps from both afternoon events and will trade accordingly.

Banks are taking it on the chin
With fears that new mortgage business will be stalled, the big banks are really taking a hit this morning. Dow components Bank of America (NYSE: BAC  ) and JPMorgan (NYSE: JPM  ) are down 1.41% and 0.53%, respectively. Though both are vying for a bigger slice of the new mortgage business, investors may be happy that their shares are small compared to that of the mortgage king, Wells Fargo  (NYSE: WFC  ) . The San Francisco-based bank controlled a whopping 29% of new mortgage originations in 2012, leaving investors concerned about the impact of a decline in new buyers to the market -- the bank's shares are down 1.91% so far in trading.

Though this news is a troubling sign, perhaps pointing to the "scary" volatility JPMorgan CEO Jamie Dimon alluded to last month when he discussed the changing rate environment, long-term investors should remember a few things. First, the 3% decline in new mortgage applications only represents the activity from one week, which included a federal holiday that closed financial institutions. Second, these big banks are fully aware of how the changes in interest rates will affect their businesses, and they still welcome the change. And finally, the current environment is favoring a short-term perspective with a heavy focus on the Fed. All three of these facts should tell you that a confident focus on the long-term viability of your investments is the best way to weather the current storm of uncertainty.

WASHINGTON -- Entrepreneurs and startup companies looking for backing will be able to solicit small investments over the Internet from the general public under a new proposal unveiled Wednesday by U.S. regulators. The Securities and Exchange Commission's crowd funding plan is a requirement in the Jumpstart Our Business Startups Act, a 2012 law enacted with wide bipartisan support that relaxes federal regulations to help spur small business growth. Equity crowd funding lets small companies raise money by pooling together tiny investments from people around the country in exchange for a potential financial return. If adopted by the five-member SEC, the rule would be a major shift in how small U.S. companies can raise money in the private securities market. Private companies are now only allowed to solicit investors deemed to be "accredited," meaning they have a net worth of $1 million, excluding the value of their homes, or an individual annual income of more than $200,000. The crowd funding rule would let small businesses raise more than $1 million a year by tapping unaccredited investors. Companies could sell stakes to mom-and-pop investors without registering the securities with the SEC, a move designed to make it cheaper and less cumbersome for struggling startups trying to get their businesses off the ground. They would still be required to raise the money through regulated broker-dealers such as CircleUp or through crowd funding portals. How many entities might register as crowd funding portals is still unknown, as many are holding off making any decisions until they see how the SEC's rules shape up. Under the proposal, crowd funding portals would be required to provide investors with educational materials and take certain steps to reduce the risk of fraud. Companies using crowd funding would also have to make some disclosures about their businesses, such as information about officers and directors, how proceeds from the offering will be used, and financial statements. In addition, the proposal limits how much money each year an unaccredited investor can contribute, based on certain income thresholds. The prospect of opening up capital-raising to a wider swath of investors has excited many startups. But the SEC has struggled with how to craft a workable rule that strikes a balance between helping to knock down barriers for startups while also protecting investors from fraud. Prior to Congress passing the law, a raft of measures were added to the bill that investor advocates say will help protect consumers. One provision requires companies raising more than $500,000 through crowd funding to provide audited financial statements. The measure is designed to give investors more information. But critics say it is simply too expensive, noting many startups don't have the money to hire lawyers or accountants to help them. Another area that advocates of crowd funding will be watching carefully is how the SEC ensures investors don't exceed the limits on how much they can contribute. The law says investors with a net worth or income of less than $100,000 can contribute only $2,000, or 5 percent of their income. Those with a net worth or income over $100,000 can contribute more. Many experts have argued that companies and crowd funding portals shouldn't have to verify income and net worth, saying it would be too cost-prohibitive. Instead, they have urged the SEC to allow companies and crowd funding portals to rely on self-certification by investors. Wednesday's proposal doesn't explicitly require companies to verify income levels, but it asks the public questions about it, leaving the issue unresolved for now, an SEC official said. "Many believe that, if structured appropriately, crowd funding can bring great benefits to our economy," said SEC Democratic Commissioner Luis Aguilar.

Stocks breaking the all-time high barrier

A large and growing number of stocks are hitting all-time highs along with the broad market — a sign of underlying strength that could portend more gains ahead.

All told, 106 stocks in the Standard & Poor's 500 are at or within 2% of their all-time highs, a commentary on how the market isn't being held up by just a few runaway winners, but a swell of companies from a swath of industries that are hitting their strides.

Seeing broad leadership instead of just a few darlings comes as the S&P 500 on Tuesday hit another all-time high, the fourth in a row, capping a 23% gain this year. "We are nowhere near a market top because this rally has real internal strength in it," says Ken Winans of Winans Investments. "This bull run has room to run."

A closer look at the companies at or approaching highs show that:

• Well-known consumer brands are big winners. Disney, Chipotle Mexican Grill and Starbucks are among the stocks that have blown the furthest into record ground. All three set new all-time highs Tuesday.

• The number of stocks hitting highs is at historic levels. More than 800 stocks trading on the New York Stock Exchange and the Nasdaq are at their highest levels over the past year, Winans says. Seeing that many stocks hit 52-week highs at the same time has only happened five other times since 1974, including 1982, 1986, 1997, 2003 and 2010, Winans says. Each of these periods were followed with powerful rallies.

• They're not just the individual investor darlings. The companies that are blazing with the most gusto aren't the high-profile tech stocks that individual investors have been infatuated with, but lesser-known companies such as industrial coatings maker PPG, hard drive makers Seagate and Western Digital, shipper United Parcel Service, defense company Northrop Grumman and discount retailers TJX and Dollar Tree. On the other ! hand, Apple, a favorite stock among individual investors, is still 26% away from its all-time high of $705 set last year.

• Former stars of last market high left out. Stocks such as Cisco Systems, JDS Uniphase and Yahoo were the pace leaders when the market last raced to new highs in the late 1990s. But all these stocks are nowhere near their all-time highs, remaining 72%, 99% and 73% away from new ground, respectively. Some former darlings, though, have returned for encore performances, including online retailers Amazon.com, which set an all-time high Tuesday, and Priceline.com, which is 2% away from its high.

Seeing so many companies hit all-time highs "is a very healthy sign and one that should encourage further buying," says Jack Ablin of BMO Private Bank.

At the Close: Stocks Go Nowhere Ahead of Tuesday–Yes, Tuesday–Payrolls Report

Stocks went nowhere today as investors wait for a delayed September jobs report to be released tomorrow.

The S&P 500 rose 0.01% to 1,744.66, while the Dow Jones Industrial Average fell 0.05% to 15,392.20.

Nomura’s Lewis Alexander and team explain what to expect–and why it probably won’t matter:

On Tuesday, 22 October, we expect the Bureau of Labor Statistics (BLS) to report the addition of a net new 180k jobs to nonfarm payrolls in September, in line with the consensus expectation. Our forecast is based on our judgment that there was a modest pickup in labor market momentum in September.

That said, it is important to remember that these data will reflect the state of the labor market in the middle of September, i.e., over a month ago and well before the government shutdown. The data in this report will affect our understanding of how the labor market is evolving and the state of the economy. But given the delay, and what has happened since the source data were collected, this report should not affect our views on the current state of the economy as much as normal. We won't see the impact of the government shutdown on payrolls until the October report, scheduled for release on Friday, 8 November 2013.

Because of such uncertainty regarding the data, many investors are concluding that the Fed will wait to begin cutting back on its bond buying. Capital Economics Paul Ashworth and Paul Dales are not so sure:

The S&P 500 Index remained near a record high on Monday, supported by the growing view among investors that the Fed will maintain the pace of its monthly asset purchases for quite some time. However, on balance we still expect that the Fed will start to taper its purchases before the end of this year.

It certainly seems very unlikely that the Fed will announce a reduction in its purchases at next week's FOMC meeting. There will be a backlog of government data releases that the committee will not have had the opportunity to digest. And Fed officials will also want to see some evidence on how the economy was performing in October, to confirm that the government shutdown only had a minor impact.

Many forecasters have also concluded that there is little chance of tapering being announced at the mid-December meeting, but we are less sure. By that time, Fed officials will have plenty of data showing not only what impact the shutdown had but also how well the economy bounced back in November.

The market in aggregate might have gone nowhere, but that wasn’t for lack of big moves from individual stocks. Parker-Hannifin (PH) gained 2.4% to $115.06 after it was upgraded to Outperform from Neutral at Baird, while Newmont Mining (NEM) gained 2.2% as gold miners headed higher today.

On the downside, Halliburton (HAL) fell 3.5% to $50.66 after beating earnings but underperforming competitors, while Regeneron Pharmaceuticals (REGN) fell 2.4% to $294.89 after it reported positive trial data on Eylea and that it will file an application with the FDA in a few months. And our big loser of the day: PetMed Express (PETS), which plunged 9.8% to $15.21, the biggest drop in the S&P 1500. It reported a profit of 21 cents a share, missing forecasts for a profit of 22 cents.

FTSE 100 Slips as Ben Bernanke Hints at End of Stimulus Package

LONDON -- The FTSE 100 (FTSEINDICES: ^FTSE  ) took a hit this morning and is down 147 points, or 2.3%, as of 7:40 a.m. EDT after U.S. Federal Reserve Chairman Ben Bernanke spoke of potentially ending the stimulus program next year.

Following last night's press conference, global markets have fallen this morning, with Japan's Nikkei index losing 231 points, or 1.7%. Every single share in the FTSE 100 fell as the stock market opened this morning, with similar scenes across Europe in Germany's DAX, Spain's IBEX, and France's CAC.

Likening the move to "letting up a bit on the gas pedal as the car picks up speed, [and] not pressing on the brake," Bernanke confirmed that if forecasts are correct, then the Federal Reserve would look to end its bond-buying scheme in the summer of 2014. The process is due to begin sometime in 2013 when unemployment is reduced to about 7% -- the latest figures from May show that America's unemployment rate stands at 7.6%.

The FTSE's slump wasn't helped by a fall in the price of gold following the Fed's announcement, with the likes of Randgold Resources particularly feeling the effects today: The miner is currently down 6%.

To compound matters, there was also negative news from China, showing that factory output has fallen to its lowest level since last September, while rumors are circulating that the Chinese government is set to tighten credit conditions on lending. China's CSI300 slid 3.3% to a six-month low.

Sandisk Corp. (SNDK) Q3 Earnings Preview: Signs Point To Good Things To Come

SanDisk Corp. (SNDK) will host a conference call Wednesday, Oct. 16, 2013 at 2 p.m., Pacific to discuss its third quarter 2013 financial results.

Wall Street anticipates that SNDK will earn $1.32 for the quarter. iStock expects the NASDAQ 100 member to beat Wall Street's consensus number. The iEstimate is $1.46, a fourteen cent upside surprise.

Sandisk Corporation designs, develops, manufactures, and markets flash storage card products that are used in various consumer electronics products. The company offers removable cards under the SanDisk Ultra, SanDisk Extreme, CompactFlash, and SanDisk Extreme PRO brands; embedded products under the iNAND brand; and digital media players under the Sansa brand.

In the last four quarters, the flash memory maker has topped Wall Street's consensus every time by an average of 30%, which would put EPS much higher than our iEstimate at $1.72.  Last quarter's surprise of 30.10% (on the average coincidentally) dove shares from $59 and change to more than $63 following the profit news.

The bottom line is always celebrated, but it is management's forward guidance that propels or repels the stock price.

According to onstrategies.com, "Given current price trends, some analysts expect Flash to reach parity with disk in the next 12 – 18 months (or maybe sooner), there will be less reason for your next transaction system to be disk-based. In fact there is good reason to be a bit skeptical on how soon supply of SSD Flash will ramp up adequately for the transaction system market; but SSD Flash will gradually make its way to prime time."

Put into English, demand should continue to improve for companies like SanDisk Corp. (SNDK). Unlike hard drives, internal Solid State Drive prices in USD have remained relatively steady since March; whereas hard drives prices have steadily declined according to pcpartpicker.com.

The combination of relatively steady prices and the upward slope of demand should work favorably for SanDisk and peers, which hopefully leads to top-end guidance from management Wednesday afternoon.

SNDK's financial statements are also working in favor of the NASDAQ stock and its shareholders. Year-over-year (YoY) revenues grew 42% in Q2 while total expenses rose at a much, much slower pace of 8.8%.

That usually means a fat jump in margins, which is what we see as YoY net margin spiked to 17.73% from 1.26%. That's probably why investors reacted so positively following last quarter's quarterly checkup.

We find no problems one the balance sheet as inventory actually fell during 43% revenue growth. Meanwhile, accounts receivable barely budged higher. This pairing is usually a sign of demand outstripping supply; a dynamic that usually benefits shareholders and companies, again.

Overall: The iEstimate and market trends suggest that SanDisk Corp. (SNDK) should top the analysts' consensus and conditions are ripe for upbeat management guidance

Don't Let The Shutdown Scare You From Ford

I've spent the better part of the last few months writing about the recovery in the U.S. auto market - a recovery that I see as being spearheaded by Ford (F), whose stock is up almost 15-fold since its lows in '08. In addition, companies like General Motors (GM) have been part and parcel with the recovery, as U.S. sales continue to rise and hope for a turnaround in Europe takes a front seat.

Ford is a company that I've really taken a shine to this year. Recently, I penned an article stating my case for being bullish on Ford - claiming that the trend of possibly having the number one sedan in the U.S. in 2014 could telegraph new highs for the stock.

I predicted, in my last article, that the Fusion was going to be the key component for the automaker to compete for top selling sedan in the U.S. for 2014.

Ford has performed extremely well for investors in 2013, and in the last twelve months alone. Ford has returned, in the last twelve months, 67.7%. In addition, Ford has just started to up their dividends again.

I had previously predicted that Ford's bullish run is still no way near from over, and that run would be catalyzed by continued impressive sales of vehicles both here in the U.S. and overseas, where the auto markets have seemed to have bottomed.

It was reported this morning that Hyundai's (HYMLF.PK) CEO, John Krafcik, has gone on the record and said that the U.S. government shutdown could affect the U.S. automobile market negatively. He's made a headline that's been picked up by news organizations across the board this morning. It echoes sentiments from executives at both Ford and GM. Autonews.com reported:

The prolonged U.S. government shutdown is damaging consumer confidence and may trim October new-vehicle sales by as much as 10 percent, said John Krafcik, CEO of Hyundai Motor Co.'s U.S. sales unit.

The standoff in Washington that began Oct. 1, leaving some government agencies closed and federal workers furloughed, is generating "anxiety" for ! many people, Krafcik said in an interview with Sara Eisen, an anchor of Bloomberg Surveillance.

"It's that anxiety that keeps customers, potential buyers, on the sidelines when making a big purchase like an automobile," he said. "We'll probably see the industry off five to 10 percent this month, compared to where it was in September. I think a lot of it has to do with this shutdown discussion."

Here's a couple of reasons why I wouldn't lend any credence to the government shutdown seriously effecting U.S. auto sales:

1. An automobile is a necessity - there's not too many people who, when they need a new car, have the option of waiting "a month or two" to feel out when the boobs in government are going to resolve their petty differences. You can only delay auto sales for so long, as long as the economy continues to improve.

2. Regardless of whether or not October sales are affected, the sales that would have occurred in October will occur whenever the government reconvenes; November at the very latest. So, the sales that were likely to occur in October will be offset by the sales in November, making it a wash and leaving little to no effect on 2013 sales as a whole.

3. As Seeking Alpha put it, "the assessment is far below where most auto analysts have October sales pegged."

It's likely that Hyundai's CEO is trying to bring PR attention to their recently launched program that allows federal workers affected by the shutdown to postpone loan and lease payments to Hyundai. Ford and GM have not launched similar programs.

Furthermore, my concern with U.S. auto growth is really based around whether or not companies like Ford can reach new sales highs in 2014; it's 2014 that I'm really worried about. Try as you'd like, 2013 has already proven itself to be a bang-up year for U.S. automakers.

Dethroning the Toyota Camry as the U.S.'s #1 sedan could be a major headline for Ford - and it's looking like less and less of a long shot! for 2014! than it's been for years past.

In addition, Ford's momentum overseas seems to be turning around, as it's been argued that the auto market has finally hit a bottom. Earlier this month, it was reported that U.K. commercial auto registrations continued on the rise, as did interest in Ford trucks overseas:

Commercial vehicle registrations rose 12.4% in September, with greater confidence and impending Euro 6 legislation producing a strong recovery in truck volumes," said Mike Hawes, SMMT Chief Executive. "Encouragingly, van registration levels have stabilised, up around 10% in the month and year-to-date, after a variable year that reacted to model changes and changeable market conditions. Year-to-date truck demand is back to 2012 levels after a slow start to the year and we expect the last quarter to be very strong for the sector.

Regardless, through July of this year, Fusion was on pace to beat its 2012 numbers significantly.

In addition, I've previously argued that Ford continues to be a great investment at this point due to the upswing that's likely to occur with its dividends.

Alongside the company's credit being upgraded recently, dividends are another financial metric that will run commensurate wit! h how the! company as a whole is doing.

Buying into Ford now catches the dividends on an upswing, as Ford has consistently raised or lowered their offering in conjunction with how the business is performing. Ford is likely to be paying well above $0.10 dividends a year or two from now.

QTR remains bullish on Ford above all other U.S. automakers. I believe that an investment in Ford now will yield higher dividends and continued positive returns through 2014 - the only question is just how much higher can Ford go?

Harsco Gains 5% as BB&T Says Buy “Turnaround Story”

Shares of Harsco (HSC) have gained today after BB&T Capital Markets upgraded its shares to Buy from Hold.

Analysts Robert Norfleet III and Basil Jones III explain the decision to raise their rating:

 We believe that the strategic transformation of HSC’s portfolio, as evidenced by the recently announced sale of its Infrastructure segment, as well as additional best practices and productivity enhancements (LEAN, etc.) should result in improved financial metrics, valuation, and, ultimately, a less complex business structure. While our non-consensus call is not primarily based on an expedited improvement in financial performance, it is a reflection of our confidence in the new management team and its ability to deliver value to shareholders through asset repositioning, improved ROICs and free cash flow generation. HSC remains a “turnaround story,” but we believe the market is underestimating out-year earnings growth, which will be driven by the Brand Energy JV, lower corporate expenses, improved margins in Metals & Minerals and the likelihood of an accretive acquisition.

In the Eastern Shelf, its wells are principally located in Coke, Scurry, Midland, Mitchell and Nolan Counties, Texas and produce oil and gas from the Strawn Reef formation at 5,000 to 7,500 feet and oil from the shallower Clea! rfork formation at depths ranging from 2,300 to 3,300 feet. The Company�� properties in the onshore Gulf Coast region are located along the Edwards trend in DeWitt and Lavaca Counties, Texas and in the Portilla field in San Patricio County, Texas. In the Edwards trend, its wells produce gas from the Edwards formation at a depth of 14,000 feet and in the Portilla field, its wells produce oil and gas from the Frio sands and the deeper Vicksburg from depths of approximately 7,000 to 9,000 feet. In addition, the Company also owns a 34.7% equity interest in a joint venture targeting the Eagle Ford in South Texas. Its properties in the province of Alberta, Canada are located in the Pekisko fairway and the Nordegg/Tomahawk area of Central Alberta.

As of December 31, 2011, the Company leased approximately 20,835 net acres, primarily in counties located on the Nesson Anticline and in areas west, including Rough Rider and Lewis & Clark in North Dakota and in Sheridan County, Montana, which are prospective for the Bakken and Three Forks formations. During the year ended December 31, 2011, the Company drilled two operated wells and participated in an additional 19 gross (1.0 net) non-operated wells. In July 2011, Abraxas purchased a used Oilwell 2000 horsepower diesel electric drilling rig. As of December 31, 2011, the Company leased a total of approximately 20,720 gross (17,800 net) acres in the southern Powder River Basin, of which 17,800 gross (15,700 net) acres were located in the Brooks Draw field of Converse and Niobrara Counties, Wyoming. In addition, it owns approximately 2,100 net acres in sout! hern Camp! bell County, Wyoming which are held by production and are near the Crossbow field operated by EOG Resources, Inc. and other recent horizontal activity. Zions Bancorporation (NASDAQ: ZION  ) is moving along with some of its peers in the banking industry by raising its shareholder payout. The company will distribute $0.04 per share of its common stock on May 30 to holders of record as of May 23. This amount is four times the company's previous distribution, which had been handed out in every quarter stretching back to August 2009.

Zions is a habitual dividend payer, but its disbursement was severely curtailed during last decade's crisis. In mid-2007, the firm was paying $0.43 per share, but barely one year later, that amount fell to $0.01, and stayed there until this current declaration.

The new dividend annualizes to $0.16 per share. That yields 0.7% at Zions' current stock price of $23.71.

    It's important to understand that for the most part, the impact on banks from the bill would be minimal. Under the Federal Direct Loan Program, the Department of Education is the lender on Stafford loans extended through the program rather than a private lender. Admittedly, rising rates on Stafford loans might make private student loans from lenders Sallie Mae (NASDAQ: SLM  ) and Wells Fargo (NYSE: WFC  ) look somewhat less unattractive.     Too little, too late?
    Whether the new regulations have arrived in time to prevent a bust in the commercial sector similar to the one seen with home mortgages remains to be seen. Some banks, at least, are recognizing the risks and staying away.     So, when B of A announced a combined reduction of 411 workers in two Legacy units located in Texas, it wasn't a huge surprise. As of December 31, 2011, the balance of covered loans was $3.8 billion, of which $3.4 billion were one-to-four family loans. Non-covered loans held for sale consists of the one-to-four family loans that are originated for sale, primarily to GSEs. At December 31, 2011, the held-for-sale loan portfolio totaled $1.0 billion

As of December 31, 2011, loans held for investment consisted of loans that it originates for its own portfolio, and totaled $ 25.5 billion.

In addition to multi-family loans, loans held for investment include commercial real estate loans (CRE); acquisition, development and construction (ADC) loans; commercial and industrial loans (C&I), and one-to-four family loans. As of December 31, 2011, its multi-family loans represented $17.4 billion, or 68.3%, of total loans held for investment, and represented $5.8 billion, or 64.1%, of the total loans that it originated for investment. The multi-family loans it originates are typically secured by non-luxury apartment buildings in New York City. It also makes multi-family loans to property owners who are seeking to expand their real estate holdings by purchasing additional properties.

As of December 31, 2011, CRE loans represented $6.9 billion, or 26.9%, of total held for investment; ADC loans represented $445.7 million, or 1.7%, of total loans held for investment. Its ADC loan portfolio consists of loans that were originated for land acquisition, development, and construction of multi-family and residential tract projects in New York City and Long Island.

C&I loans represented $600.0 million, or 2.4%, of total held for investment. It also offers a range of loans to small and mid-size businesses for working capital (including inventory and receivables), business expansion, and the purchase of equipment and machinery. Non-covered one-to-four family loans totaled $127! .4 millio! n at December 31, 2011.

Investment Activities

The Company�� securities portfolio primarily consists of mortgage-related securities, and debt and equity (other) securities. Its investments include GSE certificates, GSE collateralized mortgage obligations (CMOs) and GSE debentures. The Community Bank and the Commercial Bank are members of the Federal Home Loan Bank of New York (FHLB-NY), one of 12 regional Federal Home Loan Banks (FHLBs) consisting of the FHLB system. As of December 31, 2011, the Company�� securities represented $4.5 billion, or 10.8%, of total assets. As of December 31, 2011, 93.7% of its securities portfolio consisted of GSE obligations; held-to-maturity securities represented $3.8 billion, or 84.0%, of total securities, and its investment in bank-owned life insurance (BOLI) was $769.0 million.

Source of Funds

The Company has four primary funding sources. These include the deposits that it added through its acquisitions or gathered through its branch network, and brokered deposits; wholesale borrowings, primarily in the form of FHLB advances and repurchase agreements with the FHLB and various brokerage firms; cash flows produced by the repayment and sale of loans, and cash flows produced by securities repayments and sales. As of December 31, 2011, deposits totaled $ 22.3 billion, which included certificates of deposit (CDs) of $7.4 billion; negotiable order withdrawal (NOW) and money market accounts of $8.8 billion; savings accounts of $ 4.0 billion, and non-interest-bearing accounts of $2.2 billion. As of December 31, 2011, the Company�� borrowed funds totaled $14.0 billion, loan repayments and sales generated cash flows of $15.0 billion, and securities sales and repayments generated cash flows of $4.2 billion.

As of December 31, 2011, Community Bank had 34 subsidiary corporations. Of these, 22 are direct subsidiaries of the Community Bank and 12 are subsidiaries of Community Bank! -owned en! tities. The 22 direct subsidiaries of the Community Bank include DHB Real Estate, LLC, Mt. Sinai Ventures, LLC, NYCB Community Development Corp., NYCB Mortgage Company, LLC, Eagle Rock Investment Corp., Pacific Urban Renewal, Inc., Somerset Manor Holding Corp., Synergy Capital Investments, Inc., 1400 Corp., BSR 1400 Corp., Bellingham Corp., Blizzard Realty Corp., CFS Investments, Inc., Main Omni Realty Corp., NYB Realty Holding Company, LLC, O.B. Ventures, LLC, RCBK Mortgage Corp., RCSB Corporation, RSB Agency, Inc., Richmond Enterprises, Inc. and Roslyn National Mortgage Corporation.

The 12 subsidiaries of Community Bank-owned entities include Bronx Realty Funding Company, LLC, Columbia Preferred Capital Corporation, Ferry Development Holding Company, Peter B.     Forget the "1%." These are the 4%.
    But what about the banks that are not too big to fail? By definition, the possibility of failure makes smaller banks seem riskier investments. But possessed of the ability to grow with the population, through acquisitions, and by stealing market share from the incumbents, they're potentially more rewarding investment options -- and they do exist. A relative small fry such as New York Community Bancorp (NYSE: NYCB  ) , for example, doesn't even register on the FDIC's top 10. But with a modest P/E ratio of 12, and a generous 7.3% dividend yield, you can bet NYCB registers with investors.

    Earnings announcements
    Looking ahead, Baidu (NASDAQ: BIDU  ) and New York Community Bancorp (NYSE: NYCB  ) will unveil their own earnings reports today. Baidu may be halfway around the world from the Dow, but as with many Dow components, the Chinese search engine's results are tied to emerging-economy growth. Shares are up 33% in the past three months despite signs of a slowing Chinese economy, and analysts have high expectations for 39% sales growth (although they're willing to let profit edge down 2%).�
